Indemnification

General
The provisions of this Agreement shall be governed by and interpreted in accordance with the laws of the State of Colorado. The parties hereby designate all courts of record sitting in Colorado Springs, Colorado, both state and federal, as forums where any action, suit or proceeding in respect of or arising out of this Agreement or the transactions contemplated by this Agreement may be prosecuted as to all parties, their successors and assigns, and by the foregoing designation the parties consent to the jurisdiction and venue of such courts.
Use of the Services, the Site and/or your account is unauthorized in any jurisdiction that does not give effect to the terms and provisions of this Agreement, including without limitation, the choice of law and venue provisions contained herein.

 

You agree that neither this Agreement nor your use of the Services, the Site and/or your account shall give rise to any joint venture, partnership, employment, or agency relationship between you and Product Innovation Educators.

 

Any provision of this Agreement which is prohibited and unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof or affecting the validity or enforceability of such provision in any other jurisdiction. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

 

This Agreement shall constitute the entire Agreement of the parties in respect of the subject matter hereof and supersedes any other written or oral communications among the parties.
A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
